PARTIES
These Terms and Conditions ("Affiliate Terms") govern the OnFire Affiliate Program ("Program"). The Program is operated by the OnFire entity that holds your OnFire account ("OnFire", "we", "us", or "our"):
- OnFire Messenger Ltd., a company registered in Ireland with company number 796932, with its registered office at 77 Camden Street Lower, Dublin, D02 XE80, Ireland, if your account is held in the European Economic Area, Iceland, Liechtenstein, Norway or Switzerland; and
- OnFire Messenger Inc., a Delaware corporation, for every other country.
The entity that applies to you is the one that bills your OnFire subscriptions and pays your Commission. It is shown in the app where you view your Program earnings.
Website: https://onfire.so
Support: [email protected]
By sharing your Affiliate Link or Affiliate Code, or by accepting free Call Pro time or Commission under the Program, you ("Affiliate", "you", or "your") agree to be bound by these Affiliate Terms.
1. DEFINITIONS
1.1
In these Affiliate Terms:
"Affiliate Link" and "Affiliate Code" mean the personal link and code that OnFire gives you for sharing OnFire, for example https://call.onfire.so/?ref=YOURCODE.
"Attribution" means OnFire recording a Referred User as having joined through you, under Clause 3.
"Available" means a Commission that has completed the Hold Period and is eligible to be included in a Payout.
"Commission" means the amount payable to you under Clause 5.
"Commission Rate" means the percentage that applies to a Referred User under Clause 5.4 and Schedule 1.
"Eligible Payment" means a payment that meets the conditions in Clause 5.1.
"Free Time Benefit" means the free Call Pro time described in Clause 4.
"Hold Period" means the period described in Clause 6.1.
"Payout" means a transfer of Available Commission to you under Clause 7.
"Qualifying Plans" means OnFire's paid subscription plans for Call Pro and OnFire Business, including recurring add-on items billed on those subscriptions.
"Referred User" means a person or business whose OnFire account is Attributed to you.
2. JOINING THE PROGRAM
2.1 Eligibility
2.1.1 The Program is open to anyone who holds an OnFire account in good standing and is at least eighteen (18) years old or the age of majority where they live, whichever is higher. You may take part in your own name or on behalf of a business that you are authorised to bind.
2.1.2 You may have one Affiliate Code. Creating further accounts to obtain extra codes, benefits or Commission is not allowed.
2.1.3 OnFire directors and employees may take part only with OnFire's written approval.
2.2 No fee and no obligation
2.2.1 Taking part is free. You are not required to refer anyone, and OnFire does not guarantee that you will earn anything.
3. REFERRING AND ATTRIBUTION
3.1 How a Referred User is Attributed
3.1.1 A person or business becomes a Referred User when they create an OnFire account through your Affiliate Link, or enter your Affiliate Code in OnFire, and OnFire accepts the Attribution.
3.1.2 A code entered later is accepted only if:
(a) it is entered within seven (7) days after the account was created; and
(b) the account has not yet made any payment on a Qualifying Plan.
3.1.3 A business owner may also enter an Affiliate Code when creating a business in OnFire. In that case the Attribution is made on the date the code is entered.
3.2 Rules of Attribution
3.2.1 Each Referred User can be Attributed to one Affiliate only. The first valid Attribution applies, and a later code does not replace it.
3.2.2 You cannot refer yourself, and you cannot take part in a chain or circle of referrals that leads back to you. OnFire voids any Attribution that breaks this rule.
3.2.3 Commission accrues only on Eligible Payments made on or after the date of Attribution.
3.2.4 OnFire decides in good faith whether an Attribution is valid. If you think an Attribution was missed, contact support and include the details.
4. FREE CALL PRO TIME
4.1 The benefit
4.1.1 For each Referred User who joins through you, OnFire adds seven (7) days of Call Pro to your account, whether or not the Referred User ever pays. OnFire may change this amount for future Referred Users.
4.1.2 Free time is added one period after another, starting when any free time you already have ends. OnFire does not bank more than three hundred and sixty-five (365) days ahead of today. Once that limit is reached, a new Referred User adds no further time until some of it has been used.
4.1.3 If an Attribution is voided, for example for fraud or a referral loop, the free time it gave you is withdrawn.
4.1.4 Free Call Pro time has no cash value, cannot be transferred or exchanged, and is subject to the terms that apply to Call Pro.
5. COMMISSION
5.1 What earns Commission
5.1.1 You earn Commission on a payment when all of the following are true:
(a) the payer is your Referred User;
(b) the payment is for an invoice on a Qualifying Plan and OnFire has actually received the money;
(c) the payment was made on or after the date of Attribution; and
(d) the payment has not been refunded, credited, reversed or lost in a dispute.
5.1.2 Commission is calculated on the amount actually paid, excluding value added tax, sales tax and similar taxes, and before the fees of payment providers. Amounts covered by discounts, free periods or account credits are not paid in cash and do not earn Commission.
5.2 What does not earn Commission
5.2.1 The following do not earn Commission: purchases of AI credits and any other one-off purchase; products and services of OnFire that are not Qualifying Plans; and taxes, fees, penalties and interest.
5.2.2 OnFire may announce that other products earn Commission. Until it does, they do not.
5.3 Duration
5.3.1 You continue to earn Commission on a Referred User's Eligible Payments for as long as that Referred User keeps paying for a Qualifying Plan and these Affiliate Terms and the Program remain in effect. If the Referred User stops paying, no further Commission accrues on that account. If they come back, Commission resumes at the same Commission Rate.
5.4 Commission Rate
5.4.1 The Commission Rate for a Referred User is fixed on the date the Referred User signed up (or, under Clause 3.1.3, the date the code was entered) and follows Schedule 1. It does not change for that Referred User afterwards.
5.4.2 OnFire may change Schedule 1 for future Referred Users. A change applies only to Attributions made after it is published, and it will be published in the app or on this page before it takes effect.
5.5 Currency
5.5.1 Commission is calculated in the currency of the paid invoice and is also recorded in euro, using the exchange rate that the payment provider applied to the payment or, where none is available, the European Central Bank reference rate for the date of the payment. If you are paid in US dollars, Clause 7.4 applies.
6. HOLD, AVAILABILITY AND REVERSALS
6.1 Hold Period
6.1.1 Each Commission is "Pending" for thirty (30) days after the invoice was paid (the "Hold Period"). After the Hold Period ends, and if the Commission has not been reversed, it becomes Available.
6.1.2 OnFire may extend the Hold Period on a Commission while it reviews a possible fraud, chargeback or breach of these Affiliate Terms.
6.2 Refunds, chargebacks and disputes
6.2.1 If a payment that earned Commission is refunded or credited, the Commission on it is reduced in proportion to the amount refunded or credited.
6.2.2 If a payment is lost in a dispute or chargeback, the whole Commission on it is reversed.
6.2.3 If a reversal happens after a Commission has already been paid out, OnFire deducts it from your future Commission. A negative balance carries forward until it is cleared.
6.3 Statement
6.3.1 The app shows your Commission as Pending, Available, Paid or Reversed.
7. PAYOUTS
7.1 Payout method
7.1.1 OnFire pays Available Commission through Stripe. To receive a Payout you must create and complete a Stripe connected account through OnFire, including identity and bank verification, and accept the terms that Stripe requires. Stripe, not OnFire, performs that verification.
7.2 Payout batches
7.2.1 OnFire pays out Available Commission in batches. At the date of these Affiliate Terms OnFire builds a batch a few days after the end of each calendar quarter. OnFire may change the batch frequency, and it will tell you in the app.
7.2.2 Commission accrues from the first Eligible Payment, even if Payouts have not started yet or you have not yet connected a Stripe account. The first Payout date will be announced in the app. OnFire does not owe interest on Commission that is waiting to be paid.
7.3 Minimum Payout
7.3.1 A Payout is made only when your Available Commission, after reversals, is at least twenty euros (EUR 20) or the equivalent in US dollars. Below that amount the balance carries forward to the next batch.
7.4 Currency of Payouts
7.4.1 OnFire Messenger Ltd. pays in euro. OnFire Messenger Inc. pays in US dollars, converting the euro amount at the European Central Bank reference rate on the date the batch is built. The rate used is shown on the Payout record.
7.5 Countries
7.5.1 Payouts are possible only to countries that Stripe supports for the OnFire entity that pays you. If your country is not supported, your Commission continues to accrue and is held until a Payout to your country becomes possible.
7.6 Held, failed and delayed Payouts
7.6.1 OnFire may hold a Payout, or part of it, while it reviews fraud or a possible breach, if your Stripe account cannot receive transfers, or if the amount is unusually large for the period.
7.6.2 If a Payout fails, the amount returns to your Available balance and is included in a later batch. OnFire is not liable for delays caused by Stripe, your bank or incorrect details that you provided.
7.7 Fees
7.7.1 OnFire does not charge a fee for the Payout itself. Stripe, your bank or an intermediary may charge fees or apply exchange rates of their own, and those are your responsibility.
8. TAXES AND INFORMATION
8.1 You are solely responsible for all taxes that apply to your Commission and Free Time Benefit, including income tax, corporation tax and VAT or sales tax.
8.2 Commission is stated without VAT or sales tax. If you are registered for VAT and the law requires an invoice, OnFire and you will agree how it is issued.
8.3 You must provide the tax information that OnFire or Stripe request, such as a tax identification number or a form for the country where you are a resident for tax purposes. OnFire may withhold tax from a Payout if the law requires it, and may report Payouts to tax authorities, for example under the US information-return rules or the EU rules on platform reporting.
8.4 OnFire does not give tax advice. Please speak to a qualified adviser.
9. YOUR CONDUCT
9.1 You must promote OnFire honestly and lawfully. In particular you must not:
(a) promise or imply that anyone will earn a particular amount, or earn income without effort, by taking part in the Program, and you must not describe Commission as a salary, guaranteed or risk-free;
(b) make claims about OnFire, its plans, prices or features that are not true, or that OnFire has not published;
(c) hide your relationship with OnFire. Where the law or advertising rules require it, you must make it clear and prominent that you earn from referrals;
(d) send unsolicited messages, spam or bulk invitations, or send invitations to people who have not agreed to receive them. Email invitations may be sent only through OnFire's own invitation tools, where they are available;
(e) pay for advertising that uses OnFire's name or trademarks as keywords, or imitate OnFire's websites, apps, messages or support;
(f) create or use fake, duplicate or paid-for accounts to obtain benefits, or give incentives to people to create accounts that they do not intend to use;
(g) refer yourself or take part in a referral circle; or
(h) break any law that applies to you, including consumer protection, advertising, anti-spam and data protection laws.
9.2 OnFire gives you a limited, non-exclusive, revocable licence to use the OnFire name and logo only to describe your referral, following any brand guidelines that OnFire publishes. You gain no other rights in OnFire's trademarks.
10. FRAUD, ABUSE AND ENFORCEMENT
10.1 If OnFire reasonably believes that an Attribution, a payment or your conduct breaks these Affiliate Terms or the Program's purpose, it may:
(a) void the Attribution;
(b) hold, withhold or reverse the related Commission and Free Time Benefit, including amounts already paid, which it may deduct from future Commission;
(c) suspend or end your participation; and
(d) take other steps that the law allows.
10.2 OnFire will tell you when it does this and give a short reason, unless the law prevents it. You may reply to [email protected] with information that you want OnFire to consider, and OnFire will review it in good faith.
11. DATA AND PRIVACY
11.1 The app shows you limited information about your Referred Users, such as a first name, the date they joined, their plan and whether they are paying. Use that information only to manage your participation in the Program. You must not publish it, combine it with other data to identify people, or use it for another purpose.
11.2 OnFire processes your personal data, including the data needed to pay you, as described in its Privacy Policy at https://onfire.so/legal/privacy-policy.html. Stripe processes the data that you give it during verification under Stripe's own terms and privacy notice.
11.3 If you collect personal data from the people you invite, you are responsible for doing so lawfully.
12. CHANGES AND ENDING
12.1 OnFire may change these Affiliate Terms or the Program. For a change that makes the Program materially less favourable to you, OnFire will give at least thirty (30) days' notice in the app or by email before it applies to you. Changes to Schedule 1 follow Clause 5.4.2.
12.2 You may stop taking part at any time by telling [email protected] or by deleting your account. Commission that is already Available stays payable under Clause 7, subject to reversals under Clause 6.
12.3 OnFire may end your participation, or end the Program, at any time on notice. If OnFire ends your participation for breach of these Affiliate Terms, it may withhold unpaid Commission that relates to the breach. In every other case, Commission that has already accrued stays payable under Clauses 6 and 7, and no new Commission accrues on payments received after the end date unless OnFire says otherwise.
12.4 If your OnFire account is closed, your Affiliate Code stops working. OnFire may void or reverse Commission linked to an Attribution that is found to be fraudulent.
13. LIABILITY
13.1 The Program is provided "as is". OnFire does not guarantee that you will earn Commission or that the Program, its tracking or its Payouts will be uninterrupted or error-free.
13.2 Subject to Clause 13.4, OnFire is not liable for loss of profit, loss of business, loss of opportunity or indirect or consequential loss arising from the Program.
13.3 Subject to Clause 13.4, OnFire's total liability to you in connection with the Program is limited to the Commission that was payable to you in the twelve (12) months before the event that gave rise to the claim.
13.4 Nothing in these Affiliate Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence, for fraud, or for your rights as a consumer where they apply.
14. RELATIONSHIP
14.1 You take part as an independent person. These Affiliate Terms do not create employment, partnership, agency, joint venture or franchise. You have no authority to make promises or sign anything on OnFire's behalf.
15. GOVERNING LAW AND DISPUTES
15.1 If OnFire Messenger Ltd. is your contracting entity, these Affiliate Terms and any dispute arising from them are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction.
15.2 If OnFire Messenger Inc. is your contracting entity, these Affiliate Terms and any dispute arising from them are governed by the laws of the State of Delaware, United States of America, and the state and federal courts located in Delaware have exclusive jurisdiction.
15.3 If you are a consumer, nothing in this Clause removes the mandatory consumer protections of the country where you live.
15.4 Before starting any claim, each party will try in good faith to resolve the dispute by contacting the other for at least thirty (30) days.
16. GENERAL
16.1 Entire agreement. These Affiliate Terms, together with the OnFire Terms of Service, the Privacy Policy and the terms for the plan you use, are the entire agreement between you and OnFire about the Program.
16.2 Earlier terms. These Affiliate Terms replace the OnFire Business Referral Program Terms dated 14 April 2026 for referrals to Call Pro and OnFire Business subscriptions made through the Program since it began on 8 October 2026. Those earlier terms do not apply to Commission under this Program.
16.3 Existing participants. If you took part in the Program before the Effective Date, these Affiliate Terms apply to your Commission and Free Time Benefit from the day the Program began, and your continued participation after the Effective Date means you accept them.
16.4 Severability. If a provision is invalid or unenforceable, the rest of these Affiliate Terms remains in force.
16.5 No waiver. A delay or failure to enforce a right is not a waiver of it.
16.6 Assignment. You may not assign or transfer your rights under these Affiliate Terms without OnFire's written consent. OnFire may transfer them to a company in its group or to a successor to its business.
16.7 Language. These Affiliate Terms are written in English. Translations are for convenience, and the English text prevails.
16.8 Contact. Questions about the Program go to [email protected].
SCHEDULE 1 - COMMISSION RATE SCHEDULE
The Commission Rate depends on the date the Referred User signed up (or, under Clause 3.1.3, the date a business code was entered). Dates are in Coordinated Universal Time. The schedule at the Effective Date is:
| Referred User signed up | Commission Rate |
|---|---|
| Before 1 November 2026, 00:00 | 50% |
| From 1 November 2026, 00:00, and before 1 December 2026, 00:00 | 30% |
| From 1 December 2026, 00:00 | 20% |
The rate is a percentage of the Commission base set out in Clause 5.1.2. The rate that applies to a Referred User does not change after the Referred User signs up (Clause 5.4.1). OnFire may publish a different schedule for future Referred Users (Clause 5.4.2).
